A disclosure is a filing a listed company must submit to the Philippine Stock Exchange whenever something happens that a reasonable investor would want to know before trading: results, a dividend declaration, a major contract, a change of officers, or an answer to an unusual price movement. Filing it publicly is what keeps every shareholder on the same information at the same time.

A disclosure is the company speaking for itself in a regulated filing. A news article is a journalist reporting on it, often hours later and with context the filing does not contain. When a stock moves sharply without an obvious reason, the exchange asks the company to state whether it knows of any undisclosed development behind it. Most replies say no. The query itself is still worth noticing, because it marks a move the exchange considered large enough to ask about.
