Tubig Pilipinas Holdings Inc. (TUBIG), formerly Coal Asia Holdings Incorporated, was incorporated on June 11, 2012 to primarily be the holding company of Titan Mining and Energy Corporation (TMEC), which had been engaged in the operations of coal mining and energy-related business. The Securities and Exchange Commission approved the change in its company name to its present one on June 25, 2026.
On December 22, 2025 and January 29, 2026, the Company’s Board of directors and subsequently on February 11, 2026, the stockholders approved the divestment of TMEC and amendments to its articles of incorporation which include the change in its purpose to engage in the business of holding companies engaged in the business of water distribution, supply, sewage, septage and bulk supply, and their related activities.
On March 2, 2026, TUBIG and the shareholders of Tubig Pilipinas Group Inc. (TPGI), namely, Pure Water Corporation (Pure Water), Quadwater Corporation (Quadwater) and CEF2 A09 B.V. (CFM), executed a share swap agreement for the issuance of 66.46 billion common shares with a par value of P0.10 per common share, which, when issued, shall constitute 62.43% of the resulting total issued and outstanding capital stock of TUBIG in exchange for 632,352,943 common shares, constituting 100% of the total issued and outstanding capital stock of TPGI. TPGI currently has a roster of 12 active operating projects nationwide, and 5 awarded projects currently in execution phase, as well as other projects at various stages in the pipeline.
